The Caribbean Insider

I. Parties

This Agreement made effective this ________ day of ___________ 2008, between Caribbean Insider LLC,.and Client.

II. Monetary Consideration

A.) Infomercial Development

Caribbean Insider LLC., agrees to provide certain services to the client as an independent contractor, and the client agrees to pay for those services. The infomercial production fee also includes; a client interview, story board, up to three stock photos and professionally written script as well as a standard online video player to frame each infomercial on client’s website. Each additional stock photo purchased (beyond the three provided) will cost $49.99USD. Once the story board is reviewed and accepted by the client, there can be no modifications to the infomercial script or photographs. The above price does not include photos or logo, all of which must be provided by client within 5 business days of payment.

B.) Modifications changes (Post production)

Should the client wishe to make any changes in text, pictures, logo whatsoever after the infomercial is completed, Caribbean Insider LLC reserves the right to charge a re-record fee of $299.99 US.

C.) Infomercial Hosting

I. Infomercial Development Fees

All agreed upon fees shall be payable before work begins on the infomercial. Infomercial development and marketing fees (Video Exposure) will be specified by Caribbean Insider LLC., and agreed upon by the client indicated by Pay Pal payment. Any remaining balance is to be paid in full, within 10 days of client’s Infomercial being placed on the Internet.

II. Time is of the Essence

Caribbean Insider LLC., and the client must work together to complete the Infomercial in a timely manner. To avoid missed deadlines, the client agrees to supply Caribbean Insider LLC. with all parts of the Infomercial, including photos, logo and contact information, within Five business days of the signing of this contract or as otherwise and mutually agreed upon. Client must also make time available for an interview with assigned Caribbean Insider Project Manager (either via phone or email). After completion of the interview and the receipt of all required information (to include photos), Caribbean Insider LLC., will begin work on client’s Infomercial and will have it completed within 15 business days of receipt of photos, and any other requested information.

III. Infomercial Development

This Agreement assumes that all information will be provided by the client in a timely manner, and that all photographs (no more than 20) and logo, will be provided in a high quality format suitable for our infomercials (300 DPI or greater).Caribbean Insider LLC. will submit a story board for client’s approval during the course of Infomercial creation. The layout will be assumed approved by Caribbean Insider LLC., if notification by telephone, fax, or electronic mail is not received within five business days from the date the Storyboard draft is sent to the customer.

A link to Caribbean Insider LLC. website will appear in small type at the bottom of the Video Player. The link will simply state, in the small type available, "Powered by Caribbean Insider" This link may not be modified at any time without express written consent during the existence of the Infomercial for public viewing. The Caribbean Insider LLC. watermark may also be displayed on the screen and may not be modified. If client wishes to place his/her logo on screen, client will have to purchase that option (See Premium options).

IV. Conditions, Representations, and Warranties

Caribbean Insider LLC. warrants that the Infomercial will be completed within 15 business days from the date that client has provided all text, images, logo and any other information required to produce the Infomercial. Client's Infomercial will be designed and tested on Internet Explorer browsers in the latest versions and Caribbean Insider LLC., cannot be held liable for malfunction of the Infomercial when viewed in another browser or older versions. The Client acknowledges and agrees that Caribbean Insider LLC., can not guarantee the absence of missed deadlines caused by Acts of God or other circumstances beyond its control including, but not limited to, telecommunication problems and/or server problems.

V. Cancellation

The Client may cancel this agreement at any time prior to midnight of the second business day after signing this agreement. To cancel this agreement, mail or deliver via facsimile a signed and dated notice, which states that you the Client are cancelling this Agreement, or words of similar effect. A full or partial refund is at the discretion of Caribbean Insider LLC. The Client will be invoiced for Infomercial development work completed up until notice of cancellation was received.

IN WITNESS WHERE OF, the parties have executed this Agreement on the date first written above and submit that they are able and have authority to enter into this Agreement.
